Terms of Use
1. Agreement and definitions
These Terms govern Yard2Road - Commercial on iOS, Android and web. The Subscription Terms and Privacy Policy form part of the service terms. “Customer” means the company or organization connected to the subscription. “User” means an individual account approved for that Customer. “Owner” means the proven organizational representative recorded as the workspace owner.
The person creating a Customer account confirms that they are at least 18 and have authority to act for the named Customer. Every User must be at least 18, be authorized by the Customer and accept the current required policy versions.
2. Service
Yard2Road provides vehicle and equipment checks, issue tracking, incident and accident records, fleet administration, photographs, reports, company-user approval and subscription-controlled access. Configured records may synchronize to the Customer workspace; some device files and preferences remain local.
Operational access requires a valid individual sign-in, verified email, approved company membership, required role or permission, current policy acceptance, a verified company subscription and the service’s security checks. The service is not an emergency service, legal register, mechanical certification service or substitute for workplace, road, safety, employment, insurance or record-keeping obligations. A Customer remains responsible for its vehicles, people, inspections, decisions, records and lawful operations.
3. Company setup and authority
An ABN checksum and active ABN Lookup result establish registry facts but do not prove organizational control. A new workspace requires an active registry/legal authority class plus independent proof that the applicant controls the organization or its representative channel. A billing receipt alone does not establish organizational authority.
Only an attributable MOMD Digital operator with current privileged access may approve or reject authority. One ABN may have only one active Yard2Road Commercial workspace. A person who cannot prove authority cannot purchase or receive a Company ID.
The Company ID is a shareable locator, not a password or security credential. A new User must authenticate individually, submit the Company ID and wait for Customer administrator approval.
4. Company licence and accounts
One subscription licenses one approved Customer workspace and includes up to 25 active named accounts. The owner, administrators, managers and workers each count while both membership and profile are active. Pending, rejected, inactive, suspended and deleted accounts do not count.
The service rejects activation of a 26th active account. Existing active accounts are not removed automatically. If reconciliation finds more than 25, no further activation is allowed until the verified count is 24 or fewer. No additional-account pack or per-seat purchase is offered at launch.
Administrators must approve only people authorized by the Customer, apply least privilege, remove access promptly when a User leaves or changes duties, and review the account count. Each User must use only their own identity and must not share credentials or access tokens.
5. Roles and administration
- Owner: proven primary organizational authority and billing/workspace contact.
- Administrator: may manage users where the exact permission is granted.
- Manager: may view/export reports or resolve issues where granted.
- Worker: may complete checks and use other explicitly granted operational permissions.
Displayed role names do not override server permissions. The Customer is accountable for administrator choices and information exported by its authorized Users.
6. Acceptable use
A User must not:
- access another Customer’s data or evade authentication, Company ID, permission, App Check, rate-limit or subscription controls;
- submit false authority, billing, identity, vehicle, check, incident or safety information;
- upload unlawful, malicious, infringing or unnecessarily sensitive content;
- probe, reverse engineer or disrupt the service except where a non-excludable law permits it;
- share an account, automate abusive traffic or use the service to harm a person or system; or
- remove required attribution from OpenStreetMap content.
7. Customer content and other people
The Customer retains its rights in content it or its Users submit. The Customer grants MOMD Digital a non-exclusive licence to host, process, transmit, back up, display, export, secure and delete that content only as needed to provide and protect the service, comply with law and handle an authorized support or legal request.
The Customer is responsible for accuracy and for having a lawful reason to record another driver, witness, passenger, police contact or other person. Users should collect only information genuinely needed for the incident or Customer obligation.
Synchronized incidents are append-only. A reporter may request correction, and an authorized manager or administrator may approve an append-only correction or supersession. The original remains auditable and visibly superseded until its retention period ends. Photos are added or superseded by reference; they are not silently replaced.
8. Photos, reports and limits
An issue photo is limited to 10 MiB, an answer to 20 photo references and a submission to 128 references. Over-limit uploads are rejected; no undocumented overage charge applies. Unattested uploads are scheduled for deletion after 24 hours. Temporary generated exports are scheduled for deletion after 24 hours. A Customer controls copies it downloads or shares.
9. Availability and changes
MOMD Digital will use reasonable care in operating the service but does not promise uninterrupted or error-free availability. Maintenance, provider outages, device conditions, internet access, Apple/Google/Firebase changes, security response or law may affect availability. We may make proportionate changes needed to maintain, secure or improve the service. A material contractual change uses a new version and renewed acceptance; it does not retrospectively remove the paid benefit for a current period.
10. Suspension and termination
Access may be restricted or suspended where reasonably necessary to protect users or systems, investigate suspected fraud or authority failure, enforce these Terms, respond to a provider entitlement state, or comply with law. Where practicable, MOMD Digital will state the reason and a review path. A suspension does not itself cancel store billing.
The Customer may stop using the service and cancel renewal through Apple or Google. Paid access normally continues until the provider-verified access end. Data handling after expiry or deletion follows the Privacy Policy.
11. Account deletion, owner transfer and recovery
A User may request immediate personal-account deletion after recent authentication and explicit confirmation. Employee deletion does not cancel the company subscription or automatically erase shared Customer records.
A routine owner transfer requires both parties to reauthenticate, an already active administrator recipient, recipient acceptance, notifications, a 24-hour cooling-off period, atomic role transfer, privileged-session revocation, recovery/invitation rotation and an audit event. Emergency recovery requires independent organizational and person-control evidence, existing governance confirmation where available, notifications and a 72-hour cooling-off period. An ABN, Company ID, email, display name or receipt alone is insufficient.
If a sole owner chooses immediate deletion, the personal account is removed and the workspace freezes. A proven organizational authority has 14 days to request recovery/export and nominate an existing active administrator. Without an approved successor, live operational data is purged by day 30 except information retained under the Privacy Policy.
12. Intellectual property
MOMD Digital and its licensors retain rights in the application, brand, service design, software and documentation, excluding Customer content and third-party material. During a current subscription, the Customer receives a limited, non-exclusive, non-transferable right for its authorized Users to use the service for its internal operations, subject to these Terms.
13. Consumer and small-business rights
Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including applicable Australian Consumer Law rights. Any liability limitation applies only to the extent permitted by law. Where the law permits a remedy for services to be limited, liability may be limited to supplying the services again or paying the reasonable cost of having them supplied again.
Yard2Road assists record creation and workflow; it does not guarantee that a checklist, report, issue status, automated access decision or user entry is complete, accurate, compliant or suitable for a particular legal, safety, mechanical or insurance purpose. This does not reduce any non-excludable service guarantee.
14. Disputes and governing law
Use the support page first and provide the Customer, account email, issue and requested outcome. The parties should attempt good-faith resolution before proceedings, except where urgent relief or a statutory process is needed. These Terms are governed by the laws of New South Wales, Australia, subject to any mandatory law that applies elsewhere.
